Terms of Service

These Terms of Service (“Terms”) form a binding agreement between you and MRKT Technologies Inc. (“MRKT”, “we”, “us”, or “our”) and govern your access to and use of the website www.mrktedge.ai and our related applications, dashboards, data feeds, APIs, content, and services (together, the “Service”). They incorporate by reference our Disclaimer, our Privacy Policy, and, where applicable, our Free Trial Terms.

By creating an account, starting a trial, subscribing, or otherwise using the Service, you agree to these Terms. If you do not agree, do not use the Service. Section 15 contains a binding arbitration agreement and a class-action waiver that affect your legal rights — please read it carefully.

1. Eligibility

You must be at least 18 years old and able to form a legally binding contract to use the Service. By using the Service you represent that you meet these requirements, that the information you provide is accurate, and that you are not barred from using the Service under the laws of any applicable jurisdiction (including applicable sanctions and export-control laws). If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization to these Terms.

2. The Service & license

The Service is a market-intelligence and data-analytics platform that aggregates market data, headlines, economic-calendar events, central-bank events, and related financial information — including publicly available data as well as proprietary, institutional, and other third-party data that we license and are authorized to distribute from our data providers — and presents data visualizations, analytics, and AI-generated summaries and commentary for informational and educational purposes only. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your own personal, non-commercial use.

We may add, change, suspend, or discontinue any part of the Service, including features, data sources, and limits, at any time. The Service, including beta or experimental features, is provided on an evolving basis and may change without notice.

3. Accounts & security

You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Accounts are personal to you and may not be shared, resold, or used by more than one person. To protect subscribers and our licensors, we may enforce a single active session per account and restrict concurrent or shared use, and we may suspend or terminate accounts that we reasonably believe are being shared or used in violation of these Terms. You must notify us promptly at support@mrktedge.ai of any unauthorized use of your account.

4. Acceptable use

You agree not to, and not to permit any third party to:

  • copy, scrape, crawl, harvest, frame, mirror, redistribute, resell, sublicense, or create derivative works from the Service or any data, content, or market feeds made available through it, except as expressly permitted;
  • access the Service through automated means (bots, scripts, scrapers) or exceed any rate limits, or circumvent any access, usage, single-session, or security controls;
  • reverse engineer, decompile, or attempt to extract source code, models, or underlying data structures, except to the extent this restriction is prohibited by applicable law;
  • use the Service to develop, train, or improve any competing product, dataset, or machine-learning model;
  • interfere with, disrupt, overload, or attempt to gain unauthorized access to the Service, our systems, or our third-party providers’ systems;
  • use the Service in violation of applicable securities, financial, privacy, data-protection, sanctions, or export-control laws, or for any unlawful, fraudulent, or abusive purpose; or
  • remove, obscure, or alter any proprietary notices, or misrepresent the source or accuracy of any content.

Market data and other third-party content are licensed to us and provided to you for your personal viewing only; you receive no license to redistribute or commercially exploit it.

5. Subscriptions, billing & automatic renewal

  • Paid features are offered on a recurring subscription basis. Unless stated otherwise at checkout, subscriptions are billed $49.99 per month (plus applicable taxes) and renew automatically each billing period until cancelled.
  • By subscribing, you authorize us and our payment processor, Stripe, to charge your payment method for the then-current fees and applicable taxes on each renewal date until you cancel.
  • If your subscription begins with a free trial, the Free Trial Terms govern the trial and its automatic conversion to a paid subscription.
  • Prices are stated in USD unless stated otherwise and exclude taxes, which are added at checkout where applicable. We may change subscription pricing on a going-forward basis and will provide advance notice as required by law; changes take effect at your next renewal.

6. Cancellation & refunds

You may cancel at any time through Account → Billing, the billing-portal link in your confirmation email, or by emailing support@mrktedge.ai. Cancellation stops future renewals; you retain access through the end of the period you have already paid for. Except where required by applicable law (including any mandatory consumer cooling-off or withdrawal rights), fees are non-refundable and we do not provide refunds or credits for partial periods or unused access.

7. Intellectual property

The Service and all software, text, graphics, designs, analytics, AI outputs, trademarks, logos, and other content (excluding third-party data and content licensed to us) are owned by MRKT or its licensors and are protected by intellectual property laws. Except for the limited license in these Terms, no rights are granted to you. “MRKT” and our logos are our trademarks; you may not use them without our prior written permission. If you submit feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you.

8. Third-party data, services & links

The Service relies on third-party data providers, charting tools, and infrastructure (for example, market and financial data providers, charting libraries, payment, authentication, and analytics providers). Such data and content are provided “as is,” may be delayed, incomplete, or inaccurate, and are subject to the providers’ own terms. We are not responsible for third-party data, websites, or services, and your use of them may be governed by separate terms and privacy policies.

9. AI-generated content

The Service uses artificial intelligence to generate summaries, analysis, and commentary. AI output may be inaccurate, incomplete, outdated, or misleading, may not reflect real-time events, and should not be relied upon as a statement of fact or as advice. You are responsible for independently verifying any information before relying on it. AI features are subject to the additional limitations described in our Disclaimer.

10. No professional advice

MRKT is not a broker-dealer, investment adviser, exempt market dealer, financial planner, or fiduciary, and nothing in the Service constitutes investment, financial, legal, accounting, or tax advice or a recommendation, solicitation, or offer to buy or sell any security or instrument. All content is for informational and educational purposes only. You are solely responsible for your own decisions, and trading and investing involve substantial risk of loss. 11. Disclaimer of warranties

To the maximum extent permitted by law, the Service and all content and data are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade. We do not warrant that the Service will be uninterrupted, secure, timely, error-free, or that any content, data, or AI output will be accurate, complete, current, or reliable. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.

12. Limitation of liability

To the maximum extent permitted by law, MRKT and its officers, directors, employees, agents, suppliers, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or trading or investment losses, arising out of or related to your use of (or inability to use) the Service or any reliance on its content, whether based in contract, tort, negligence, strict liability, or otherwise, even if advised of the possibility of such damages. To the maximum extent permitted by law, our total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the amounts you paid us for the Service in the twelve (12) months before the event giving rise to the claim, or (b) USD $100. Some jurisdictions do not allow certain limitations, so some of the above may not apply to you; nothing in these Terms limits liability that cannot be limited under applicable law.

13. Indemnification

You agree to indemnify, defend, and hold harmless MRKT and its officers, directors, employees, agents, suppliers, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your violation of these Terms, your violation of any law or third-party right, or any content you submit.

14. Term & termination

These Terms apply while you use the Service. We may suspend or terminate your access at any time, with or without notice, for any breach of these Terms, suspected fraud or abuse, to comply with law, or to protect the Service or other users. You may stop using the Service and close your account at any time. Sections that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, indemnification, dispute resolution, and governing law — survive.

15. Dispute resolution — arbitration & class-action waiver

Please read this section carefully — it affects your legal rights and requires most disputes to be resolved by individual arbitration rather than in court.

  • Informal resolution first. Before starting a formal proceeding, you agree to contact us at support@mrktedge.ai and attempt to resolve the dispute informally for at least 30 days.
  • Binding arbitration. Except as set out below, any dispute, controversy, or claim arising out of or relating to these Terms or the Service will be finally resolved by confidential, binding arbitration administered under the applicable arbitration legislation of the Province of Ontario, Canada, before a single arbitrator, seated in Toronto, Ontario, and conducted in English. Judgment on the award may be entered in any court of competent jurisdiction.
  • Class-action waiver. To the fullest extent permitted by applicable law, disputes will be conducted only on an individual basis and not as a class, collective, consolidated, or representative action. The arbitrator may not consolidate more than one person’s claims.
  • Opt-out. You may opt out of this arbitration agreement and class-action waiver by emailing support@mrktedge.ai with the subject line “Arbitration Opt-Out” within 30 days of first accepting these Terms. Opting out does not affect any other part of these Terms.
  • Exceptions. Either party may bring an individual claim in small-claims court, and either party may seek injunctive or equitable relief in court to protect its intellectual property or confidential information.
  • Consumer-protection carve-out. Nothing in this Section limits any non-waivable right you have under applicable consumer-protection law. Where mandatory law (for example, certain Canadian provincial consumer-protection statutes) provides that a pre-dispute arbitration agreement or class-action waiver is unenforceable against consumers, that mandatory law prevails to the extent of the conflict, and the remainder of this Section continues to apply.

16. Governing law & venue

These Terms and any dispute relating to them or the Service are governed by the laws of the Province of Ontario and the applicable federal laws of Canada, without regard to conflict-of- laws rules. Subject to Section 15, the courts located in Toronto, Ontario have exclusive jurisdiction, and you consent to their jurisdiction and venue. Nothing in this Section deprives you of the protection of mandatory consumer-protection laws of your place of residence. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

17. Changes to these Terms

We may update these Terms from time to time. Material changes take effect on a going-forward basis and will be communicated as required by law (for example, by posting the updated Terms with a new “Last updated” date or by email). Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

18. General

These Terms, together with the documents they incorporate, are the entire agreement between you and MRKT regarding the Service and supersede prior agreements on that subject. If any provision is found unenforceable, the remaining provisions remain in effect, and the unenforceable provision will be enforced to the maximum extent permitted. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. We are not liable for any delay or failure caused by events beyond our reasonable control. We may provide notices to you by email or through the Service.
